1. Introduction

These Terms and Conditions ("Terms") govern the access to and use of the website available at www.8tech.pro (the “Website”) and any associated services, products, digital solutions, software or content (collectively, the “Services”), offered by 8TECH RTP (“we”, “us”, or “our”).

By accessing, browsing or using the Website or Services, you (“you”, “User”, or “Client”) accept and agree to be bound by these Terms in full. If you do not agree with any part of these Terms, you must not use the Website or Services.

2. Scope of Services

We provide business-to-business (B2B) services, including but not limited to:

Custom software development;
DevOps and systems architecture consulting;
Managed IT services;
Cybersecurity consulting and implementation;
API integrations and scalable backend solutions;
Development of high-availability transactional platforms for regulated industries, including entertainment and interactive services.

All Services are offered on a project or retainer basis and subject to separate contractual agreements or Statements of Work (SOW) as applicable.

3. Intellectual Property Rights

3.1. Ownership

All intellectual property in the Website, custom software, architecture designs, source code, trade names, branding, documentation, and associated assets remains the exclusive property of Us or its licensors.

3.2. Client Deliverables

Unless otherwise agreed in a signed contract, deliverables provided to clients under project scope are licensed, not sold, and are subject to usage limitations defined in the SOW.

3.3. Restrictions

You agree not to:

Reverse-engineer, decompile or attempt to extract source code;
Use any materials for competing or commercial purposes outside the scope of engagement;
Infringe or misuse any third-party trademarks, logos, or proprietary technologies.

4. Data Protection, GDPR & Confidentiality

4.1. GDPR Compliance

As a Cyprus-based entity, We complies with the General Data Protection Regulation (EU) 2016/679 (“GDPR”). Any personal data collected from EU residents is:

Processed lawfully, fairly and transparently;
Collected only for specific, legitimate purposes;
Stored securely and retained only for as long as necessary.

4.2. Data Subject Rights

Under GDPR, you have rights including:

Right of access;
Right to rectification;
Right to erasure;
Right to data portability;
Right to restrict or object to processing;
Right to lodge a complaint with a Data Protection Authority (DPA).

Clients are responsible for:

Ensuring data provided to Us does not breach privacy or regulatory laws;
Implementing backup strategies unless contracted otherwise;

5. Cookies and Tracking Technologies

Our Website does not use cookies or similar tracking technologies.

6. Confidentiality

Any non-public information shared by either party in the course of an engagement or communication, including source code, pricing, business models, trade secrets or project documentation, shall be treated as confidential. Neither party shall disclose such information without written consent, unless legally required.

This confidentiality obligation survives termination of these Terms or any engagement.

7. Fees, Billing and Payments

7.1.

All fees are agreed in writing and invoiced per schedule. Payments must be made in full and on time.

7.2.

We reserve the right to:

Suspend Services for overdue invoices;
Apply interest for late payments (as permitted by Cyprus law);
Require upfront deposits or milestone payments.

7.3.

Pricing may vary depending on scope, volume, or urgency. All amounts are exclusive of VAT unless stated otherwise.

8. Service Availability and Warranties

8.1.

While we aim to deliver high-availability Services, we do not guarantee uninterrupted access. Downtime may occur due to:

Maintenance or upgrades;
Third-party failures (e.g. cloud providers);
Force majeure (e.g. natural disasters, cyberattacks).

8.2.

Unless specifically covered under a Service Level Agreement (SLA), we provide no service uptime guarantees.

8.3.

All services are provided “as is” and without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

9. Third-Party Tools and Integrations

We may use or recommend third-party technologies (e.g., cloud platforms, CI/CD tools, APIs). While we select reliable solutions, we are not liable for:

Performance or security of third-party services;
Licensing, usage limits or compliance of such services;
Data breaches or losses caused by third-party actions.

Any use of third-party tools is subject to their own terms and privacy policies.

10. Acceptable Use Policy

You agree not to:

Use the Website or Services for unlawful or unethical purposes;
Introduce malicious software, scripts, or automated bots;
Attempt unauthorized access to infrastructure or data;
Resell or exploit the Services without written permission.

Violation of this policy may result in immediate suspension or legal action.

11. Limitation of Liability

To the maximum extent permitted by law:

We shall not be liable for any indirect, incidental, consequential or punitive damages;
This includes loss of profits, revenue, data, goodwill, or anticipated savings;
Total liability under any claim shall not exceed fees paid by you in the preceding 30 days.

This limitation applies regardless of theory of liability, including negligence, breach of contract, tort or statutory duty.

12. Indemnification

You agree to indemnify, defend and hold harmless 8TECH RTP, its directors, officers, employees and affiliates from and against any claims, damages, costs, losses or liabilities (including legal fees) arising from:

Your misuse of the Website or Services;
Violation of applicable laws or third-party rights;
Breach of these Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Cyprus, excluding conflict of law provisions. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Nicosia, Cyprus.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

14. Severability

If any part of these Terms is found to be invalid, illegal, or unenforceable by a competent authority, the remaining provisions will remain in full force and effect.

15. Amendments

We reserve the right to update or amend these Terms at any time. Any changes will be posted on the Website with an updated effective date. Continued use of the Website or Services after such changes constitutes acceptance.

16. Entire Agreement

These Terms, along with any project agreements, SOWs or NDAs, constitute the full and exclusive agreement between you and Us concerning the Services, and supersede all prior communications, written or oral.
